The Dutch BV formation
A Dutch BV (Besloten Vennootschap) is the most commonly used legal entity for company formation in the Netherlands. It provides limited liability and flexibility for both individual and corporate shareholders, making it ideal for international business operations.
The Dutch BV is widely used by foreign entrepreneurs, holding structures, and multinational companies due to its strong legal framework and recognition across the European Union.

Corporate shareholders and holding structures. A Dutch BV can be owned by corporate shareholders, including foreign companies, making it suitable for international group structures and holding company setups. During the incorporation process, corporate shareholders and directors must be verified and authorized to sign the deed of incorporation, generally requiring an official extract from the Chamber of Commerce (or equivalent registry) of the parent company. If the company is incorporated remotely, a notarized power of attorney may be used to complete the process on behalf of the shareholders or directors.

Taxation of Netherlands companies
Any entrepreneur forming a company in the Netherlands should be aware of the Dutch tax system. When your business is registered with the Dutch tax authorities, your Dutch company will be obligated to pay tax on its profits. The lower corporate tax rate is currently 19%, up to €200,000 profit a year. The higher tax rate is 25.8% for all profits exceeding €200,000.
